These Terms & Conditions ("Terms") govern your use of Contractor's Secretary (the "Service"), available at payprompt.us.com. The Service is operated by Lisa Liddell ("we", "us", or "our"). By creating an account or using the Service, you are entering into a binding agreement with Lisa Liddell.
1. Acceptance of Terms
By accessing or continuing to use the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you confirm you have authority to bind that business. If you are using it as an individual, you confirm you are of legal age to form a binding contract. If you do not agree to these Terms, do not use the Service.
2. The Service
Contractor's Secretary generates professional written messages, estimates, change orders, and invoice/receipt communications that you can send to your own clients. The Service provides text output only; you are responsible for reviewing, editing, and sending all messages, and for the accuracy of the information they contain.
3. Your Account
You must provide accurate information when creating an account and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
4. Acceptable Use
You agree not to misuse the Service. In particular, you must not:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- send spam, harassing, threatening, or misleading messages;
- infringe the intellectual property or other rights of any third party;
- interfere with or compromise the security of the Service, including introducing malware, probing, scanning, or scraping;
- attempt to circumvent usage limits, credits, or technical restrictions.
5. Credits & Payment
The Service operates on a one-time credit model. Your first credit is free. Additional credits may be purchased. Credits do not expire and there is no subscription.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, and related mechanics are governed by Paddle's Buyer Terms.
6. Intellectual Property
We retain all ownership of the Service, including its software, content, branding, and design. These Terms do not transfer any of our intellectual property to you. You are granted a limited, non-exclusive, non-transferable right to use the Service. The messages you generate and the information you enter remain yours.
7. Service Availability
We work to keep the Service running, but we do not guarantee it will be uninterrupted, timely, secure, or error-free. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded by law.
9. Suspension & Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.
